1. Acceptance of Terms

2. Description of Services
Wings Over is a food service business operating in the United States, offering customers the opportunity to browse our menu, place food orders, arrange for delivery or pickup, make payments, and interact with our customer service representatives through our digital platforms.
Our Services include, but are not limited to:
- Online Food Ordering: Customers may browse our menu and place orders for chicken wings, sides, sauces, beverages, and other food and beverage items available at Wings Over locations.
- Delivery Services: We may offer direct delivery services to eligible addresses within designated delivery zones, subject to availability and additional terms communicated at the time of ordering.
- In-Store Pickup / Curbside Pickup: Customers may place orders online and collect them at a Wings Over location at a scheduled pickup time.
- Promotions and Special Offers: From time to time, we may offer promotional deals, discounts, combo offers, loyalty rewards, and other special incentives, which are subject to separate promotional terms.
- Customer Account Management: Registered users may create and manage a personal account to track order history, save payment methods, and receive personalized recommendations.

3. User Obligations and Prohibited Activities
3.1 General Obligations
As a condition of your use of the Services, you agree to:

- Pay all charges and fees associated with your orders and account in a timely manner.
3.2 Prohibited Activities
You expressly agree that you will NOT engage in any of the following prohibited activities:
- Using the Site or Services for any fraudulent, deceptive, or unlawful purpose;
- Placing false, fictitious, or fraudulent orders with no genuine intent to purchase;
- Impersonating any person or entity or misrepresenting your affiliation with any person or entity;
- Attempting to gain unauthorized access to any portion of the Site, other user accounts, or our backend systems;
- Transmitting any viruses, malware, ransomware, spyware, or other harmful computer code through the Site;
- Using automated tools, bots, scrapers, or similar technologies to access, collect, or harvest data from the Site without our express written consent;
- Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code of the Site or any related software;
- Interfering with or disrupting the integrity, security, or performance of the Site or Services;
- Posting, transmitting, or distributing any content that is defamatory, obscene, harassing, threatening, or otherwise objectionable;
- Circumventing any security or access control measures implemented by Wings Over;
- Using the Services to send unsolicited commercial communications or spam;
- Engaging in any activity that places an unreasonably large load on our infrastructure or that adversely impacts the experience of other users;
- Reproducing, duplicating, copying, selling, reselling, or otherwise exploiting any portion of the Services for commercial purposes without our prior written consent;
- Violating any third-party rights, including intellectual property rights, privacy rights, or contractual rights.
We reserve the right, in our sole discretion, to suspend or terminate your account and access to the Services without notice if we determine, or have reason to believe, that you have violated any provision of these Terms or applicable law.
4. Account Registration
Certain features of our Services may require you to register for an account. When you register, you agree to provide truthful, accurate, and complete information and to update such information as necessary. You are solely responsible for all activities that occur under your account.
You may not share your account credentials with third parties. Wings Over will not be liable for any loss or damage arising from your failure to maintain the confidentiality of your account information. We reserve the right to refuse account registration, cancel accounts, or remove content at our discretion, without liability, for any reason including violation of these Terms.
5. Intellectual Property Rights
All content, materials, and intellectual property available on or through the Site and Services, including but not limited to text, graphics, logos, icons, images, photographs, audio clips, video clips, digital downloads, data compilations, software, menus, recipes, branding, trade dress, and the overall design and arrangement of the Site (collectively, "Content"), are the exclusive property of Wings Over or its licensors and are protected by United States and international intellectual property laws, including the Copyright Act (17 U.S.C. § 101 et seq.), the Lanham Act (15 U.S.C. § 1051 et seq.), and applicable trade secret laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its Content solely for your personal, non-commercial use in connection with placing orders and using the Services. This license does not include the right to:

If you submit feedback, suggestions, reviews, comments, ideas, or other communications to Wings Over ("User Submissions"), you grant Wings Over a worldwide, perpetual, irrevocable, royalty-free, fully sublicensable license to use, reproduce, adapt, publish, translate, distribute, and display such User Submissions in any media for any purpose related to our business. You represent and warrant that your User Submissions do not infringe any third-party rights.
6. Payment Terms
6.1 Pricing and Fees
All prices for menu items displayed on the Site are in United States Dollars (USD) and are subject to change without notice. Applicable taxes, delivery fees, service fees, and any other applicable charges will be calculated and displayed at checkout prior to order confirmation. You agree to pay all charges associated with your order, including any applicable taxes.
6.2 Payment Methods
We accept major credit cards, debit cards, and other payment methods as indicated at checkout. By providing your payment information, you represent and warrant that: (a) you are authorized to use the designated payment method; (b) you authorize us to charge your payment method for the total amount of your order; and (c) your payment information is accurate and complete.
6.3 Order Confirmation
Your order is not confirmed until you receive an order confirmation notification from Wings Over. We reserve the right to refuse or cancel any order for reasons including unavailability of items, errors in pricing or product information, or suspected fraudulent activity.
6.4 Refunds and Cancellations
Due to the perishable nature of food products, all sales are generally final. Refunds may be issued at our discretion in cases of incorrect orders, food quality issues, or failure to deliver. 6.5 Chargebacks
If you initiate a chargeback or payment dispute with your financial institution without first contacting Wings Over to attempt resolution, we reserve the right to suspend or terminate your account and pursue all available legal remedies to recover the disputed amount plus any associated fees and costs.
7. Delivery Terms
Delivery availability, delivery zones, estimated delivery times, and delivery fees are subject to change and may vary by location and time of day. Estimated delivery times are approximations only and are not guaranteed. Wings Over shall not be liable for delays caused by circumstances beyond our reasonable control, including but not limited to traffic conditions, weather events, or high order volumes.
You are responsible for ensuring that someone is available at the delivery address to receive the order. If an order cannot be delivered due to circumstances attributable to you (e.g., incorrect address, no one available to receive), we may not be able to issue a refund for that order.
8. Disclaimers
8.1 As-Is Basis
THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WINGS OVER EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
8.2 No Guarantee of Availability
Wings Over does not warrant that the Site will be available at all times, uninterrupted, secure, or error-free. We do not warrant that defects in the Site will be corrected or that the Site is free from viruses or other harmful components. We reserve the right to suspend or discontinue the Site or any part thereof at any time without notice.
8.3 Food Allergen Disclaimer
Our food products are prepared in facilities that may process common allergens including but not limited to peanuts, tree nuts, soy, wheat, milk, eggs, fish, and shellfish. While we take reasonable precautions, we cannot guarantee that our products are completely free from allergens or cross-contamination. Customers with food allergies or dietary restrictions are strongly encouraged to contact us directly before placing an order and to exercise their own judgment. Wings Over is not responsible for any adverse reactions resulting from food allergies or dietary sensitivities.

We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites. 9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE FEDERAL TRADE COMMISSION ACT AND APPLICABLE STATE CONSUMER PROTECTION STATUTES, WINGS OVER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
- Your use of, or inability to use, the Site or Services;
- Any errors, mistakes, or inaccuracies in the Content;
- Any unauthorized access to or use of our servers or your personal information stored therein;
- Any interruption or cessation of transmission to or from the Site;
- Any bugs, viruses, or other harmful code transmitted through the Site;
- Any food-related claims, including allergic reactions, food illness, or personal injury, except as required by applicable law;
- Any loss or damage resulting from your reliance on information obtained through the Site.
IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF WINGS OVER ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO WINGS OVER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
10. Indemnification
You agree to defend, indemnify, and hold harmless Wings Over and its respective officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
- Your use of or access to the Site or Services;
- Your violation of these Terms;
- Your violation of any applicable law, regulation, or third-party right, including any intellectual property, privacy, or consumer protection right;
- Any User Submissions or content you provide to Wings Over;
- Your negligence, willful misconduct, or fraud;
- Any dispute between you and a third party arising from your use of the Services.
Wings Over reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate fully with Wings Over in asserting any available defenses. You agree not to settle any claim subject to indemnification without Wings Over's prior written consent.
11. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the applicable state laws of the state in which Wings Over's principal place of business is located, without regard to its conflict of law principles.
Subject to the dispute resolution provisions below, you consent to the exclusive personal jurisdiction and venue of the federal and state courts located in the United States for the resolution of any disputes not subject to arbitration under these Terms. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.
To the extent applicable, these Terms are also subject to federal consumer protection laws, including regulations enforced by the Federal Trade Commission (FTC) under the FTC Act (15 U.S.C. § 41 et seq.), as well as applicable state consumer protection statutes.
12. Dispute Resolution
12.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first attempt to resolve any dispute, controversy, or claim arising out of or relating to these Terms or the Services informally by contacting Wings Over at [email protected] with a written description of your dispute and the relief you are seeking. We will attempt to respond to your notice within thirty (30) days. If we are unable to resolve the dispute informally within sixty (60) days of your initial notice, either party may proceed with the formal dispute resolution process described below.
12.2 Binding Arbitration
EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL CLAIMS COURT, ALL DISPUTES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") IN ACCORDANCE WITH ITS CONSUMER ARBITRATION RULES, WHICH ARE AVAILABLE AT www.adr.org. THE ARBITRATION SHALL BE CONDUCTED IN ENGLISH AND THE ARBITRATOR'S DECISION SHALL BE FINAL AND BINDING.
The arbitrator shall have the authority to grant any remedy or relief that a court of competent jurisdiction could order, including monetary damages and injunctive relief, but shall not have the authority to award punitive or exemplary damages except as authorized by applicable statute.
12.3 Class Action Waiver
YOU AND WINGS OVER AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.
12.4 Exceptions
Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration. Nothing in this section shall prevent either party from seeking relief in small claims court for disputes within that court's jurisdiction.
13. Term and Termination
These Terms are effective as of the date you first access or use the Site or Services and shall remain in full force and effect for as long as you continue to access or use the Services, unless earlier terminated in accordance with these Terms.
Wings Over may, in its sole discretion, suspend or terminate your access to the Site or Services, with or without notice and without liability, for any reason, including but not limited to:
- Your breach of any provision of these Terms;
- Your engagement in any fraudulent, abusive, or illegal activity;
- Extended periods of account inactivity;
- Our decision to discontinue the Site or Services, in whole or in part.
You may terminate your account at any time by contacting us at [email protected] and requesting account deletion. Termination of your account does not relieve you of any obligations incurred prior to termination, including payment obligations for orders placed.
Upon termination of these Terms for any reason, all licenses and rights granted to you hereunder shall immediately cease, and the following provisions shall survive: Sections 5 (Intellectual Property Rights), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 11 (Governing Law and Jurisdiction), 12 (Dispute Resolution), 14 (Severability), and any other provisions that by their nature should survive termination.
14. Changes to Terms
Wings Over reserves the right to modify, update, revise, or replace these Terms at any time in its sole discretion. When we make changes, we will update the "Last Updated" date at the top of this page and, where the changes are material, we may provide additional notice such as an email notification to registered users or a prominent notice on the Site.
Your continued access to or use of the Site or Services after any changes to these Terms become effective constitutes your acceptance of and agreement to the revised Terms. If you do not agree to the revised Terms, you must immediately discontinue your use of the Site and Services and, if applicable, close your account.

15. Severability
If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, unenforceable, or in conflict with applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions of these Terms, which shall continue in full force and effect.
The failure of Wings Over to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision unless acknowledged and agreed to in writing by Wings Over. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
16. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices, policies, or agreements published by Wings Over on the Site, constitute the entire agreement between you and Wings Over with respect to your use of the Site and Services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to the same subject matter.
No modification of these Terms shall be binding unless it is in writing and signed by an authorized representative of Wings Over, or unless it is posted on the Site as an updated version of these Terms.
17. Assignment
You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without the prior written consent of Wings Over. Any purported assignment in violation of this provision shall be null and void. Wings Over may freely assign or transfer these Terms or any of its rights or obligations hereunder, including in connection with a merger, acquisition, reorganization, sale of assets, or operation of law, without restriction and without notice to you.
18. Force Majeure
Wings Over shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions, war, terrorism, civil unrest, labor disputes, power outages, internet failures, supply chain disruptions, or any other event or circumstance outside our reasonable control ("Force Majeure Event"). In the event of a Force Majeure Event, we will use reasonable efforts to notify you and to resume normal operations as soon as reasonably practicable.
19. California Consumers – Additional Rights
If you are a resident of the State of California, you may have additional rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), as amended, including the right to know, delete, correct, and opt out of the sale or sharing of your personal information.
